1. Agreement to Terms
These Terms of Use constitute a legally binding agreement between you ("you") and Boundless Inc. ("Company", "we", "us", or "our"), concerning your access to and use of the Boundless website and related services (collectively, the "Site"). We are registered in Delaware, United States with our registered office at 102 Lakeland Avenue, Dover, DE 19901. The Site provides cloud services: compute instances, storage, and software products (the "Marketplace Offerings"). By accessing the Site and/or Marketplace Offerings, you agree to be bound by these Terms. IF YOU DO NOT AGREE, YOU ARE PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.
We may update these Terms at our discretion by revising the "Last updated" date. Your continued use constitutes acceptance of changes. The Site is not intended for distribution in jurisdictions where prohibited by law. Users accessing the Site from restricted locations do so at their own risk. The Site is not compliant with industry-specific regulations (e.g., HIPAA, FISMA). You may not use it for activities violating the GLBA. The Site is for users 18 years or older.
2. Intellectual Property Rights
The Site, Marketplace Offerings, Content (text, graphics, code, etc.), and Marks are our proprietary property protected by U.S. and international intellectual property laws. Content is provided "AS IS" for personal use only. No Content or Marks may be copied, reproduced, or exploited without our prior written permission. Eligible users receive a limited license to access the Site and download Content solely for personal use. Unauthorized use violates these Terms and applicable law. All rights not expressly granted are reserved.
3. User Representations
By using the Site, you warrant that:
- (1) All registration information is accurate and current;
- (2) You have legal capacity and agree to comply with these Terms;
- (3) You are at least 18 years old;
- (4) You will not use automated means (bots/scripts) to access the Site;
- (5) Your use will not violate any laws.
False information may result in account suspension/termination. Prohibited activities include: distributing intoxicants, illegal drugs, alcohol, gambling content, or adult material. We are a service provider and make no warranties regarding Marketplace Offerings’ safety, accuracy, or legality. You assume all risks.
4. User Registration
You may need to register to access Marketplace Offerings. Keep your password confidential. We reserve the right to reclaim usernames deemed inappropriate.
5. Marketplace Offerings
We reserve the right to limit quantities, modify pricing, or discontinue offerings at any time without notice. No warranties are provided regarding quality or Site errors.
6. Purchases and Payment
We accept Stripe and Crypto.com payments. You agree to provide accurate payment details and update them promptly. Sales tax may apply. Prices are in USD and subject to change. You authorize recurring charges for subscriptions. We reserve the right to refuse orders or limit quantities.
7. Refunds Policy
All sales are final. No refunds will be issued.
8. Prohibited Activities
- You may not: Retrieve Site data systematically to create databases without permission.
- Circumvent security features or disrupt Site functionality.
- Harass other users or misuse support services.
- Use automated systems (e.g., data mining tools) or impersonate others.
- Post unauthorized materials (e.g., spyware).
- Compete with us using the Marketplace Offerings.
9. User Generated Contributions
- Contributions you submit must: Not infringe third-party rights.
- Be accurate and non-misleading.
- Not contain illegal, obscene, or harassing content.
Violations may result in account termination.
10. Contribution License
We may process your data per our Privacy Policy. By submitting feedback, you grant us unrestricted usage rights. You retain ownership of Contributions but release us from liability related to them.
11. Social Media
Linking third-party accounts requires authorization. We assume no responsibility for Social Network Content.
12. Submissions
Feedback or submissions become our exclusive property. You waive moral rights to such content.
13. Third-Party Websites/Content
We do not endorse or monitor third-party content. Accessing external links is at your own risk.
14. Site Management
We may monitor violations, take legal action, remove content, or manage Site operations to protect our rights.
15. Privacy Policy
Your use is governed by our Privacy Policy. Data is hosted in the U.S.
16. Term and Termination
We reserve the right to terminate accounts or block access at our discretion, without notice. Post-termination account creation is prohibited.
17. Modifications and Interruptions
We may change, suspend, or discontinue the Site/Marketplace Offerings without liability for downtime or discontinuation.
18. Governing Law
These Terms are governed by Delaware law.
19. Dispute Resolution
Disputes first undergo 30-day informal negotiation. Unresolved issues proceed to binding arbitration under AAA rules. Class actions are waived. Exceptions include intellectual property disputes.
20. Corrections
We reserve the right to correct Site errors without notice.
21. Disclaimer
THE SITE AND MARKETPLACE OFFERINGS ARE PROVIDED "AS IS." WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR PURPOSE, AND NON-INFRINGEMENT.
22. Limitations of Liability
We are not liable for indirect, consequential, or punitive damages. Liability is capped at the lesser of $500 USD or amounts paid by you in the prior 6 months.
23. Indemnification
You agree to indemnify us against claims arising from your use, breach of Terms, or violation of third-party rights.
24. User Data
While we perform backups, you are solely responsible for data transmitted via the Site.
25. Electronic Communications
You consent to electronic communications and signatures for all transactions.
26. California Users
Complaints may be directed to the California Department of Consumer Affairs.
27. Miscellaneous
These Terms constitute the entire agreement. Severability applies; no waiver occurs unless in writing.
Definitions:
- Host: Users listing hardware for lease on Boundless. Hosts must not inspect, interfere with, or access Client Pods.
- Client: Users renting hardware via Boundless. Clients must not sabotage Host machines or engage in unlawful activities.
Boundless Inc. is not liable for unlawful actions by Hosts or Clients.
